1. Definitions

1.1 "Regulations" – these Wholesale Regulations, which constitute a wholesale offer and agreement.

1.2 "Online Shop" – the website accessible at https://www.maniitalacitta.eu/ offering Goods for wholesale orders.

1.3 "Goods" – products presented in the Online Shop.

1.4 "Civil Code" – Latvian Civil Code.

1.5 "Wholesaler" – a legal entity or an individual entrepreneur (sole trader) placing an Order for Goods for the purpose of resale, having formally acquired such a status under applicable law.

1.6 "Purchase Agreement" – the sale agreement of Goods concluded between SIA LACITTA and the Wholesaler.

1.7 "Order" – the declaration of will of the Wholesaler leading directly to entering a Purchase Agreement, specifying the type and quantity of Goods.

2. General Provisions

2.1 These Regulations determine the rules for placing Orders and selling Goods by SIA LACITTA, Antonijas iela 26-6, Riga, Latvia, LV-1010, reg. no. 40203339209, VAT LV40203339209, email: hello@catbymaniitalacitta.com (the "Seller").

2.2 These Regulations comply with the Act on Providing Services by Electronic Means.

2.3 Minimum technical requirements for the IT system:
- Supported browsers: Internet Explorer, Firefox, Chrome, Safari, Opera;
- Minimum resolution: 1024 x 768;
- JavaScript enabled.

2.4 The Wholesaler is responsible for obtaining access to a device with an internet connection.

2.5 The Wholesaler may access, download, and print these Regulations at any time from https://www.maniitalacitta.eu/pages/wholesaleregulations.

2.6 Information about Goods on the Online Shop constitutes an invitation to submit a purchase offer.

2.7 All content on the Online Shop (product images, graphics, logos, product descriptions) is protected by copyright. Unauthorized use, reproduction, or distribution without written permission will result in civil and criminal liability for copyright infringement and intellectual property theft. After purchase, wholesalers will receive access to brand materials via Google Drive. Use is permitted only for online resources; printed use is prohibited.

In case of any discrepancies between language versions, the English version shall prevail.

3. Conclusion of Purchase Agreement and Order Fulfillment**

3.1 Only Wholesalers may place wholesale Orders.

3.2 To place an Order, the Wholesaler must:
- Complete the registration form on the website https://www.maniitalacitta.eu/ or
- Send an email to hello@catbymaniitalacitta.com with:
- Full name of the Wholesaler
- Contact person details
- Delivery address
- VAT number
- Phone and email
- List of Goods and quantities
- Confirmation of agreement with the Regulations.

3.3 Acceptance of the Regulations and intellectual property protection terms is mandatory.

3.4 Acknowledgement is confirmed by ticking the appropriate box or via a written statement.

3.5 The Seller will verify Goods availability and send Order confirmation with details including quantities, prices, delivery, discounts, and required confirmation.

3.6 The Wholesaler must confirm the Order by email, committing to payment.

3.7 Upon confirmation, the Seller sends final order realization confirmation.

3.8 All questions should be directed to hello@catbymaniitalacitta.com.

3.9 Order confirmation by the Wholesaler constitutes a declaration of intent to conclude a Purchase Agreement.

3.10 The Agreement is concluded in English.

3.11 The Agreement provisions and VAT invoice will be provided to the Wholesaler electronically.

3.12 The Seller may terminate cooperation for breach of the Regulations.

3.13 A barred Wholesaler cannot re-register without Seller’s permission.

3.14 The Wholesaler must:
- Not transmit unlawful content;
- Place Orders without interfering with Shop operations;
- Refrain from spam;
- Respect other Wholesalers and the Seller;
- Use Online Shop content only for intended purposes;
- Not use intellectual property without permission;
- Act in accordance with Latvian law.

4. Personal Data

4.1 The Seller is the data controller.

4.2 Data is processed for Purchase Agreement execution.

4.3 Wholesalers have the right to access, correct, and control their data.

4.4 Optional consent may be given to receive marketing newsletters.

5. Intra-Community Acquisition of Goods (EU VAT)

5.1 Intra-Community acquisition applies if:
- Goods are exported from Latvia;
- The buyer is a VAT-registered entity with a valid EU VAT number.

5.2 VAT will be deducted after positive verification.

5.3 Buyers must select "Company" and "EU VAT payer" during order placement.

6. Delivery

6.1 Courier services: DPD (Latvia), DHL or PPL (EU), DHL (Non-EU).

6.2 Delivery costs are paid separately and invoiced after order payment.

7. Prices and Payment

7.1 Prices are in EUR, inclusive of VAT (unless 0% VAT applies).

7.2 Payment options:
- Bank transfer: BE77967224649942
- Credit cards: Visa, Mastercard.

7.3 Cash on delivery is not available.

7.4 Payment must be completed before shipment.

7.5 Changes in Goods availability after payment will be notified.

7.6 Overpayments will be refunded within 14 days.

7.7 Partners are recommended to adhere to MSRP and limit open discounts to 15% online.

7.8 Minimum order: 50 units. Orders below this quantity may be rejected.

8. Warranty Exclusion

8.1 Due to the B2B nature of transactions, the Seller excludes warranty liability. Returns and exchanges are not accepted unless due to manufacturing defects.

9. Complaints

9.1 Complaints about electronic services can be submitted to hello@catbymaniitalacitta.com.

9.2 Complaints must include the name, contact details, description, and date of the issue.

9.3 Complaints will be handled within 14 days.

10. Final Provisions

10.1 Disputes are subject to Latvian courts.

10.2 In matters not covered by these Regulations, Latvian law shall apply.
